Does Bulgaria opt into EU Inc?
No Bulgarian government position on EU Inc has been published, and we found no sourced public stance from the Bulgarian startup ecosystem (including BESCO) on the proposal. The regulation is not yet adopted: it is under examination by Parliament and Council, where Bulgaria will vote by qualified majority.
Bulgaria has, however, already legislated in EU Inc’s direction domestically. Alongside the standard OOD/EOOD limited company, the variable-capital company (druzhestvo s promenliv kapital, DPK) — enacted in 2023 and registrable since late 2024 — offers no minimum capital, flexible share classes and vesting, aimed squarely at startups. How a DPK-friendly Bulgaria positions itself in Council is worth watching on the tracker.
