Does Germany opt into EU Inc?
Germany’s debate centres on two questions: how an EU Inc would interact with the GmbH, the country’s dominant limited-liability form, and how it would sit with co-determination (Mitbestimmung) — the worker board-participation rules that are politically untouchable in Germany.
The Commission proposal states EU Inc does not remove co-determination where it exists and leaves labour law to the member state of the registered office, but worker-participation safeguards remain a live negotiating point flagged at the 28 May Competitiveness Council.
