Writing on the Oxford Business Law Blog, Alessandro Palombo (Bitizenship) argues that EU Inc’s reliance on 27 national administrations to apply “harmonised” rules risks repeating the fate of the Societas Europaea: identical provisions read differently in each member state — “27 different 28th regimes” rather than one. As a monitored fallback, he proposes an “EU Inc Zone”: a single self-contained legal environment with a unified court and registry, activable through enhanced cooperation if fragmentation crosses defined thresholds. The critique targets the proposal’s optional, decentralised design — the same concern the Delaware comparison turns on.
